The clauses that cost owners most are the ones that let the agency keep the accounts, the site or the phone numbers when you leave. Be wary of any contract that guarantees rankings or lead counts, because no one can honestly promise those.

We’re an agency, so this is the same paperwork we hand to owners. Our own terms are simple: we ask for three months and put it in the contract, but if you want to leave, we won’t make you stay; after that it’s month-to-month, and every HVAC marketing package on our packages page includes call tracking, a real-time dashboard and a monthly report. If you’re still comparing agencies, how to choose an HVAC marketing agency covers the shortlist, and the rest of the HVAC marketing questions library goes question by question.

What should an HVAC marketing agency contract spell out?

A good agency agreement answers six questions in plain words, without making you ask:

Ownership: who owns the ad account, website, domain, Google Business Profile, tracking numbers and the data in them.

Scope: what the monthly fee buys, item by item, and what costs extra.

Term and cancellation: how long you’re committed, how much notice you give, and what leaving early costs.

Money: the agency’s fee, your ad spend, who pays Google, and any markup.

Reporting: what you’ll see each month and what you can check any time.

Exit: what gets handed back, how fast, and in what form.

If a contract is vague on any of these, get the answer in writing before you sign. This is general guidance for owners, not legal advice; on a large or long agreement, a business attorney’s review is cheap insurance.

Who should own the Google Ads account under the contract?

Your business should. The contract should say the Google Ads account is opened in your company’s name, paid with your card, and that you hold your own Admin login. The agency works inside it with its own access.

How Google sets this up is the reason it matters. When an agency creates a new account from its manager account, Google makes that manager the account’s owner automatically, and an owner manager can invite users, grant or revoke admin access and accept links from other managers. Google is also clear that the client account still owns its data and can remove an owner by unlinking it, but that only helps if someone at your company can get in as an admin. Google also suggests having more than one administrator, because an account with only one may lose access to its tags if that person becomes unavailable.

A clause worth asking for: “Client owns the Google Ads account and all its data, holds Admin access at all times, and the agency will remove its access on request at the end of the agreement.” If you want to check what you have today, judging whether your agency is getting results walks through the access levels and how to leave cleanly.

What should the contract say about my Google Business Profile?

That you are the primary owner and the agency is added as a manager or an extra owner. Google allows a profile to have several owners but only one primary owner, and only owners can add or remove people or delete the profile. Managers can do almost everything else, including editing your info, replying to reviews and posting, which is all an agency needs to do its job.

Get this in the contract because fixing it later is slow. A new owner or manager has to wait 7 days before they can remove other owners or managers or transfer primary ownership, and an owner can’t hand over primary ownership in their own first 7 days. Your reviews, photos and years of history live on that profile, so it shouldn’t sit in someone else’s Google account.

Who owns the website and the domain name?

Some agencies build sites on their own platform and license them to you monthly, so the site, copy and photos can stay with them when you go. The contract should say whether you own the finished site and its content, whether you get a full copy of the files when you leave, and what any buyout costs if the site isn’t yours outright. If there’s a buyout, it should be a number in the contract, not a figure decided on the way out.

The domain name matters even more, because it’s your address on every truck and yard sign. It should be registered with your business as the registrant, not the agency. ICANN, which oversees domain registration, says it’s the registrant’s right to move a domain between registrars, and the registrar must give you the transfer code within five calendar days of asking. If the agency is listed as the registrant instead, that right sits with the agency, and getting your own address back depends on its cooperation.

The platform the site is built on affects how easily it moves, too. Choosing a website platform for an HVAC company covers what to check.

Who keeps the call tracking numbers when I leave?

This clause gets missed most often, and it can hurt the most. Agencies use tracking numbers to show which calls came from which ads, and those numbers end up on your Google profile, your website and sometimes your trucks and mailers. If they sit in the agency’s call tracking account, the account holder controls them.

Phone numbers can move. The FCC says you can keep your number when you switch providers in the same area, and your old company can’t refuse the port even if you owe a balance. CallRail, one widely used call tracking tool, says account holders own the numbers they create there, porting a U.S. number away is free, and the process typically takes 4-6 weeks. The catch is who the account holder is: the request has to be approved by an administrator on that account.

So write it down: tracking numbers are transferred to you, or ported at your request, when the agreement ends. Better still, keep your main business number as the number on your Google profile and listings so leaving never changes it. Keeping your name, address and phone consistent explains why that number shouldn’t wander.

How long should an HVAC marketing contract be?

Long enough for the work to have a fair chance, and no longer. Ads can start bringing in calls within days, so a long commitment on ads alone is hard to justify. SEO is a ramp: it typically takes 3-6 months to show meaningful organic growth, which is why how long HVAC SEO takes matters when you read the term.

In our judgement, a short starting term while the foundation gets built is fair, and a multi-year contract you can’t exit isn’t. Watch for these:

Auto-renewal into another long term. If it renews, it should roll to month-to-month, not another year.

Early termination fees equal to the rest of the term. That turns a bad month into a bad year.

Price increases mid-term without your written OK.

What should the cancellation clause say?

It should tell you exactly how to leave and what happens next:

Notice. How many days, delivered how (email is easiest), and from what date.

Final bill. What you owe for the last period and any work in progress, with no fee to get your own accounts back.

Handover list. Admin access to the ad account, primary ownership of the Google profile, the website files and logins, the domain, the tracking numbers, call recordings and reports.

Deadline. A number of business days for the handover, so it doesn’t drag into peak season.

Access removal. The agency removes its own users once you confirm everything’s in hand.

A clean exit clause costs a good agency nothing. Resistance to writing one tells you how leaving would go.

How should the contract handle ad spend and fees?

Your ad spend and the agency’s fee should be two separate lines. The cleanest setup is that Google bills your card directly inside your own account, and the agency invoices only its management fee. Google Ads lets users with Admin or Billing access add payment methods, so this is easy to arrange.

If the agency pays Google and bills you back, the contract should state any markup as a number and give you Google’s own invoices; otherwise you can’t tell what reached Google. Also check whether the fee changes when your ad budget does, and whether setup, landing pages or ad design cost extra.

What reporting should the contract promise?

Write down what the monthly report will include, not just that there will be one. Ask for calls and form leads by source, how many became booked jobs, and what each booked job cost, with the agency’s fee and ad spend both counted. Add standing access: read-only access to your Google Ads account and a dashboard you can check any time, plus call recordings so you can hear what the leads actually sounded like.

A reporting clause like that turns every monthly review into a real conversation about cost per booked job. Tracking whether your marketing is paying off covers how to tie those leads to jobs in your own software.

Which promises in a marketing contract are red flags?

Promised rankings or lead counts. Google’s own advice on hiring help says no one can guarantee a #1 ranking on Google, and to be wary of anyone claiming a special relationship with Google.

A required link back to the agency. Google says you should never have to link to an SEO. A clause making a footer credit permanent, or a condition of service, deserves a question.

Buying or writing reviews. Google’s Maps content policy says reviews should reflect a genuine experience, and fake engagement and reviews posted in exchange for an incentive are removed. A contract that offers to add positive reviews is a liability, not a service.

Vague work descriptions. Google warns against companies that are secretive or won’t explain what they’ll do, and notes that you’re responsible for the actions of companies you hire.

How do I read the contract before I sign it?

Slowly, with your own copy, and without letting anyone rush you. Go clause by clause against the list on this page and mark anything that isn’t answered. Send those questions back in writing and ask for the answers to go into the agreement itself, not a follow-up email.

Google’s advice on hiring outside help points the same way: ask for an explanation of anything that’s unclear, and check references by asking past clients whether the company was useful and easy to work with. If the agency’s answer to “who owns this?” is “don’t worry about it,” that’s the answer.

Not sure which of these is costing you jobs?

A free visibility audit checks the Google profile, reviews, site and tracking, and shows what to fix first.

Get my free visibility auditBook a growth call

What's different about agency contracts for HVAC companies

Timing around the seasons. A contract that starts in spring and gives you a notice window that closes mid-July makes switching agencies during your busiest weeks almost impossible. Look at where the term and notice dates fall against your heat and cold seasons, and avoid a handover in the middle of either.

Numbers printed on trucks, stickers and mailers. HVAC companies put phone numbers on equipment stickers and wrapped vans that stay in the field for years. If a tracking number ends up on any of those, the clause about who keeps it matters far more than it would for a business that only uses numbers online.

Your field software. If the agency connects to ServiceTitan, Housecall Pro or Jobber to match leads to booked jobs, the contract should say the data stays in your software and the connection is removed, not just abandoned, when you leave.

A worked example: what leaving early costs under two contracts

These numbers are made up to show the math, not typical prices. Two agencies quote you. Contract A is $2,000 a month on a 12-month term, and leaving early means paying the rest of the term. Contract B is $2,400 a month, with three months up front and month-to-month after that. Four months in, the results aren’t there and you want out.

Contract A: you’ve paid 4 × $2,000, or $8,000. Leaving means the remaining eight months, another $16,000. Total: $24,000.

Contract B: you’ve paid 4 × $2,400, or $9,600. You give notice and stop. Total: $9,600.

The cheaper monthly price was the more expensive contract. That’s why the term and exit clause belong in the price comparison.

For reference, our Essentials package is $3,500 a month, with ad spend paid to Google separately. We ask for three months in the contract, but we won’t make you stay; whether it’s worth it comes down to cost per booked job, which is what a free visibility audit is for.

Frequently asked questions

Is a month-to-month marketing contract always better?

Not always. A short starting commitment is reasonable while an agency sets up tracking and fixes your Google profile, because SEO typically takes 3-6 months to show meaningful growth. What matters is that you can leave without losing your accounts, and that any renewal rolls to month-to-month.

Can an agency refuse to give back my Google Business Profile?

If you’re an owner on the profile, you control who has access, and only owners can add or remove people. If the agency holds the only ownership, you have to ask it to add you and then wait 7 days before you can remove other users or take over primary ownership, which is why the contract should name you as primary owner from day one.

Should the agency put my ads in its own Google Ads account?

No. Ask for the account to be in your business’s name with your own Admin login. An agency can manage it fully from its manager account without owning it.

Do I need a lawyer to review a marketing contract?

For a short month-to-month agreement, many owners review it themselves using a checklist like this one. For a long term, a large setup fee or a website build, a business attorney’s review is worth it. This page is general guidance, not legal advice.

What if I already signed a contract that gives the agency the accounts?

Start by asking, in writing, to be added as an Admin on the ad account and an owner on the Google profile, and ask who the domain’s registrant is. Doing that now, before you plan to leave, avoids a scramble later.

Key takeaways

Ownership comes first: ad account, Google profile, domain, website files and tracking numbers in your business’s name.

When an agency creates a Google Ads account from its manager account, it becomes the owner by default, so open the account in your name.

Read the term, the notice period and the early exit cost together; the cheapest monthly price can be the priciest contract.

Keep agency fees and ad spend on separate lines, with any markup written down.

Put the contents of the monthly report in writing, and walk away from any contract that promises a ranking or a lead count.

Want a second set of eyes on your setup?

We'll look at how you show up locally and where calls are leaking, then send you a plain-English breakdown.

Get the free auditBook a growth call

More in this section

How do I know if my HVAC marketing agency is getting results?

How do I switch HVAC marketing agencies without losing anything?

How should a commercial HVAC company market itself?

What should I do with the marketing after buying an HVAC business?

How competitive is HVAC marketing in my area, and how do I check?

Sources

Do you need an SEO? —
